Non-Disclosure Agreement

 

This agreement is prepared by Sharjah finance department presented here as First Party to adhere to the regulations of UAE, In order to protect the privacy and confidentiality of governmental information. As his/her, duties require accessing Sharjah finance department information; this agreement present second party’s commitment of protecting confidentiality and privacy of first party’s information.

Responsibilities:

The second party is responsible to adhere to every statement of this agreement.

Agreement Objectives:

- Comply with Sharjah Finance Department policy, procedures and Laws.

- Protect Sharjah finance department information and data privacy of Employees, Contractors, Vendors, Sharjah Government Departments, and Assets used for Sharjah finance department services.

Agreement Statements

  1. This agreement covers all information related to Sharjah finance department work, whether being digitized or not.
  2. During his/her working with first party, any information that second party becomes aware of is an intellectual property of the first party, including verbal information.
  3. This agreement covers, with no exception all Sharjah finance department employees’ officials, contractors,etc and the employees of any company that works with Sharjah finance department, even those doing presale activities.
  4. Excluded from this agreement are only information those Sharjah finance department makes public.
  5. This agreement does not end by ending the relationship between the two parties, and ends only when Sharjah finance department makes official announcement of it.
  6. The second party commits that sharing any information with third parties requires Sharjah finance department approval.
  7. The second party commits not to try reaching any information out of his work scope, and to inform Sharjah finance department if this accidently happens.
  8. The second party commits to inform Sharjah finance department about any information leak.
  9. When work relationship ends, the second party commits to deliver all information to Sharjah finance department, and to destroy any remaining information those not delivered.
  1. The first party keeps the right to monitor and audit adherence to this agreement, directly or through a third party.

11- Failing to adhere to this agreement makes second party accountable by Sharjah laws, UAE laws, and responsible for any consequences. 

12- For companies’ employees, adhering to this agreement is a shared responsibility between companies and its employees. 

13- Companies have to be given a copy of this agreement at the beginning of the business relationship with Sharjah finance department while receiving the agreement copy is considered as an approval of its contents.

14- In case information leak the first party has the full right to take any action in order to reduce the risk, and to make sure leakage will not take a place again.

Appendix A: Information Transfer Agreement 

Note: The below details need to be filled in case of critical information exchange i.e. ‘Confidential (C3) or Secret (C4)’ information exchange.

  1. The First Party has agreed with the Second Party to transfer .................................. (Confidential Information) for the purpose of (..................................).
  2. The transfer will be made via .............................................................
  3. The Second Party must not use the provided Confidential Information for any other purpose than stated in Purpose without prior written approval from The First Party.
  4.  In case that the First Party does want the provided confidential information back, the Second Party will upon written notice return all information. Moreover, the Second Party will ensure that no copies of the confidential information will be detained.
  5. The Second Party will not share the received confidential information with any third party for any purpose falling outside Purpose. 
  6. The Second Party will access the information under controlled circumstances including but not limited to access control and security controls to minimize the risk of data leakage to unauthorized parties. 
  7. This Agreement is governed by UAE local and federal Laws and regulations.
